Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Buyer", or "Seller") and Oye Imagine Private Limited ("NIAR", "Company"). By creating an account, placing an order, or listing products on NIAR, you confirm that you have read, understood, and agreed to these Terms.

If you are accessing the platform on behalf of a business, you represent that you have the authority to bind that entity to these Terms.

2. Platform Description

NIAR is a curated luxury marketplace connecting buyers with premium Indian and international brands across beauty, fashion, fragrance, and wellness. NIAR acts as an intermediary platform and is not the seller of record for third-party brand listings.

3. Buyer Terms

• You must be at least 18 years old to create an account and make purchases.
• You are responsible for maintaining the security of your account credentials.
• Orders are subject to product availability and seller acceptance.
• Product descriptions and images are provided by sellers; NIAR endeavours to ensure accuracy but cannot guarantee completeness.
• NIAR reserves the right to cancel orders suspected of fraud or policy violations.
• Returns and refunds are governed by our Returns & Exchanges Policy.

4. Seller Terms

• Sellers must complete KYC verification and hold valid GSTIN before listing products.
• All listed products must be authentic, accurately described, and in compliance with applicable laws.
• Sellers agree to NIAR's commission structure and payout schedule as communicated during onboarding.
• NIAR reserves the right to remove listings, suspend, or terminate seller accounts for policy violations.
• Sellers are responsible for GST compliance on their sales and accurate HSN code assignment.

5. Intellectual Property

All NIAR brand assets, platform design, software, and content (excluding seller-uploaded content) are the exclusive intellectual property of Oye Imagine Private Limited and are protected under Indian copyright, trademark, and design laws.

Sellers grant NIAR a non-exclusive, royalty-free licence to display their product images, descriptions, and brand assets on the platform for the purpose of marketing and selling their products.

6. Prohibited Conduct

Users must not:

• List or sell counterfeit, stolen, or prohibited goods
• Manipulate reviews, ratings, or search rankings
• Attempt to circumvent the platform for off-platform transactions
• Use automated bots or scraping tools without written permission
• Engage in harassment, hate speech, or abusive behaviour toward other users or staff
• Violate any applicable Indian or international law

7. Payments & Refunds

All payments are processed securely via Razorpay. NIAR does not store payment card details. Prices displayed include applicable GST. Refunds are processed as per our Returns Policy and the timelines therein.

8. Limitation of Liability

To the maximum extent permitted by applicable law, NIAR's total liability for any claim arising from your use of the platform shall not exceed the value of the order giving rise to the claim. NIAR is not liable for indirect, incidental, or consequential damages.

9. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Gautam Buddha Nagar (Noida), Uttar Pradesh. Before initiating legal proceedings, you agree to first attempt resolution through our Grievance Officer.

10. Changes to Terms

NIAR may update these Terms from time to time. Continued use of the platform after notification of changes constitutes acceptance of the revised Terms. We will provide at least 30 days' notice of material changes via email.
